ProofRoom terms of service

These terms govern the use of the ProofRoom service and this website. They are written for the people who actually use the product: photographers running a studio, and the staff who help them deliver galleries.

1. Acceptance

By creating a ProofRoom studio account, publishing a gallery, or subscribing to any plan, you accept these terms on behalf of yourself and the business you represent. If you do not accept them, do not use the service. If you are agreeing on behalf of a company or partnership, you confirm you have authority to bind it. The version of these terms in force on the day you subscribe or renew is the version that applies to that billing period.

2. What the service is

ProofRoom is a hosted client proofing and print ordering service for photography studios. It lets a studio upload proof images from a session, publish them as a private gallery reached through a single link, collect favorites marked by the client and the people they share the link with, present the studio's own price sheet, take a card payment for the resulting print order, transmit that order to a connected professional lab, and show the client the delivery status in the same gallery. The service also keeps a session log of views, favorites and orders, and provides exports of files and order history. ProofRoom is not a lab, not a payment institution and not a photographic retoucher. Printing is fulfilled by the lab you connect, and card payments are processed by the payment provider connected to your account.

3. Eligibility and accounts

You must be at least eighteen years old and operating a business to hold an account. You are responsible for the accuracy of the details on your account, for keeping your credentials secret, and for everything done under your login, including actions taken by staff you invite. Seats on the Studio Team plan are for named individuals in your studio and may not be shared between people.

4. Acceptable use

You agree not to upload material you do not have the right to publish, to use ProofRoom to distribute unlawful, harassing or sexually exploitative content, to attempt to reach another studio's galleries, to probe or bypass the security of the platform, to resell access to the service without a written agreement, or to use automated tools to bulk download galleries that are not yours. You are responsible for holding the model releases and client permissions you need for the images you publish. We may suspend an account that puts the platform, a client or another studio at risk, and where the situation allows we will contact you first.

5. Subscriptions, prices and billing

ProofRoom is sold on three monthly plans in United States dollars: Solo Studio at $29 per month, Busy Studio at $59 per month, and Studio Team at $119 per month. The price shown on the pricing section of the home page is the price charged. Subscriptions are billed monthly in advance on the day you subscribed, and they renew automatically until you cancel. There is no setup fee, no per gallery charge and no commission on your print sales. Storage used above the limit of your plan is billed at $4 per 100 GB per month, and we notify you before that charge begins. Applicable sales taxes or VAT are added where the law requires. If a payment fails, we retry it and email you; galleries stay live for ten days before an account is suspended for non payment.

6. Changing plans and cancellation

You can move between plans on any billing date, and the change takes effect immediately with the difference prorated on your next invoice. You can cancel from your studio settings at any time, without contacting support and without giving a reason. Cancellation stops the next renewal; the plan runs to the end of the period you already paid for, and we do not refund part months except where a mandatory consumer law requires it. Galleries you already delivered stay open for thirty days after the subscription ends so that no client is cut off in the middle of an order. Before or during that window you can export every original file, every retouched file and your full order history.

7. Your content and your clients

You own the photographs, price sheets, studio branding and client records you put into ProofRoom. Nothing in these terms transfers any copyright to us. You grant MLJ, SASU a limited licence to store, process, resize, watermark, transmit to your chosen lab and display those files strictly for the purpose of operating the service for you. We do not use your images to promote ProofRoom, we do not license them to anyone, and we do not train any model on them. You remain the controller of your clients' personal information; we act as your processor for it and handle it as described in the privacy policy.

8. Availability and support

We aim for 99.9 percent monthly availability, measured excluding scheduled maintenance, which is announced at least forty eight hours ahead and scheduled outside United States business hours wherever possible. Support is provided by email on business days, with a four hour target reply on the Studio Team plan and a one business day target on other plans. We keep daily off site backups of galleries and order records. No hosted service is immune to outages, and we do not promise uninterrupted operation.

9. Warranty disclaimer

The service is provided on an as is and as available basis. To the fullest extent permitted by law, MLJ, SASU disclaims implied warranties of merchantability, fitness for a particular purpose and non infringement. We do not warrant that the service will meet every requirement of your studio, that print output from a third party lab will match your monitor calibration, or that every integration will remain available if a lab changes its ordering system. Nothing here excludes a warranty that cannot lawfully be excluded.

10. Limitation of liability

To the maximum extent permitted by law, MLJ, SASU is not liable for indirect, incidental, special or consequential loss, including lost print sales, lost sessions, loss of goodwill or the cost of substitute services. Our total aggregate liability arising out of or relating to the service in any twelve month period is limited to the subscription fees you paid in that period. These limits do not apply to liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

11. Indemnity

You agree to indemnify MLJ, SASU against claims, damages and reasonable legal costs arising from images or content you publish through the service, from your breach of these terms, or from your failure to hold the rights and releases needed for the material you upload.

12. Changes to these terms

We may update these terms as the product develops or the law changes. Material changes are announced by email to account holders at least thirty days before they take effect, and the date at the top of this page is updated. If you do not accept a change, you may cancel before it takes effect and the current terms apply until the end of your paid period.

13. Governing law and jurisdiction

These terms are governed by French law. Any dispute that cannot be settled amicably will be brought before the competent courts of Paris, France, subject to mandatory rules that may allow a consumer to bring proceedings elsewhere. If any clause is held unenforceable, the rest of the terms remain in force.
